Terms of Service

These terms govern your use of Nyvel ("the Service"). By creating an account or using the Service you agree to them on behalf of yourself and, where applicable, the organization you represent. If you do not agree, do not use the Service.

Who you are contracting with. Nyvel is operated by MB „Mobilus sprendimas" ("we", "us"), a small partnership registered in Lithuania, company code 304959201, VAT identification number LT100012029511, registered at Pastogės g. 8, LT-45475 Kaunas, Lithuania. That company is the party to this agreement, the party that invoices you, and the party a Data Processing Agreement is concluded with.

1. What the Service is

Nyvel connects to the mobile device management (MDM) platforms your organization already operates, reads device inventory and security-posture information through those platforms' APIs, and presents it as reports and exports. The Service is read-only by design: it does not modify, configure, or enforce anything on your devices or in your MDM.

2. What the Service is not

  • The Service reports information as reported by your MDM and your devices. We do not independently verify device state, and information may be incomplete, delayed, or inaccurate — including because a device is offline, an MDM API changes, or a collection script is not installed.
  • The Service does not make your organization compliant with any law, standard, or framework, and does not guarantee any audit, certification, insurance, or regulatory outcome. Framework mappings are informational aids, not attestations.
  • Nothing in the Service constitutes legal, audit, insurance, or professional advice.

3. Your account and responsibilities

  • You are responsible for the accuracy of the information you provide, for safeguarding access to your account, and for the actions of users you invite to your organization.
  • You must have the authority to connect your organization's MDM to the Service, and you are responsible for the API credentials you supply. You can revoke them in your MDM at any time.
  • You may not misuse the Service — including attempting to access other customers' data, reverse engineering, reselling without agreement, or using it in violation of applicable law.

4. Subscriptions, trials, and billing

  • Paid plans are billed per observed device (a "seat") through Stripe, prepaid monthly or annually. Seat increases take effect immediately and are prorated; seat decreases take effect at your next renewal.
  • New accounts start with a time-limited trial that observes your whole fleet and requires no payment method. When a trial ends without a purchase, the account moves to the free tier: a small fixed number of devices stay observed at no cost, and the rest stop being evaluated until seats are purchased. Evidence already collected is retained either way.
  • Some capabilities are limited to paid plans — currently point-in-time evidence export (CSV and PDF), which is unavailable on the free tier.
  • Fees are non-refundable except where required by law. You can cancel at any time; cancellation takes effect at the end of the paid period, and we do not refund partial periods.
  • Prices may change; we will notify you before a renewal at a changed price.

5. Your data

You retain all rights to the data the Service collects from your MDM on your behalf. You grant us the right to process that data solely to provide and support the Service. Our handling of personal data is described in the Privacy Policy.

Where that data includes personal data, you act as the controller and we act as your processor: we process it only on your instructions and only to provide the Service. If you require a Data Processing Agreement under Article 28 GDPR, request one at support@nyvel.io; once agreed it forms part of these terms and takes precedence over them in respect of personal data. You are responsible for having a lawful basis for the processing you instruct, and for giving any notice your own personnel are entitled to about the devices you place in scope.

6. Availability and changes

Our Security page describes availability, backup and recovery in detail, including what we do not offer.

We aim to keep the Service available and your evidence continuous, but we do not promise uninterrupted or error-free operation, and we may change, add, or remove features. We may suspend accounts that breach these terms or create risk for the Service or other customers.

7. Disclaimer and limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind, express or implied. To the maximum extent permitted by law, our total liability arising out of or related to the Service is limited to the amount you paid us in the twelve months before the claim, and we are not liable for indirect, incidental, special, or consequential damages — including losses arising from decisions made, or audits or insurance outcomes obtained, in reliance on information shown by the Service.

8. Termination

You may stop using the Service and delete your account at any time. On termination, your MDM credentials are no longer used and your data is deleted in line with the Privacy Policy.

9. Changes to these terms

We may update these terms. For material changes we will give notice (for example by email or in the product) before they take effect. Continued use after the effective date constitutes acceptance.

10. Governing law and contact
